Terms of Service & Client Engagement Terms

These Terms govern the use of services provided by Mission Critical Experts LLC (“Company,” “we,” “our,” or “us”) and apply to all clients, website users, and prospective customers.


1. Scope of Services

Mission Critical Experts LLC provides consulting, design, advisory, and implementation support services related to:

Data center infrastructure

Electrical systems and critical power

Mission-critical environments

Operational reliability and performance

All services are defined in writing through proposals, statements of work (“SOW”), or service agreements.


2. Engagement & Acceptance

A client engagement is considered active upon:

Written acceptance of a proposal or agreement

Execution of a service contract

Or commencement of work at the client’s request

All services are subject to these Terms unless otherwise agreed in writing.


3. Fees & Payment Terms

Fees will be outlined in the applicable proposal or agreement

Invoices are due within [Net 15 / Net 30] days unless otherwise specified

Late payments may result in:Suspension of servicesAdditional fees or interest as permitted by law

The Company reserves the right to require deposits or milestone-based payments.


4. Client Responsibilities

The client agrees to:

Provide accurate and complete information

Ensure timely access to facilities, systems, or personnel

Make decisions and approvals without undue delay

Delays caused by the client may impact timelines and costs.


5. Change Orders

Any changes to scope, schedule, or deliverables must be agreed upon in writing.

The Company reserves the right to:

Adjust pricing

Revise timelines

Issue formal change orders


6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the engagement.

Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.


7. Intellectual Property

Unless otherwise agreed in writing:

All pre-existing intellectual property remains the property of its original owner

Deliverables created specifically for the client may be licensed or transferred as defined in the agreement

The Company retains the right to use general knowledge, experience, and non-confidential insights gained during the engagement.


8. Disclaimer of Warranties

All services are provided on a commercially reasonable efforts basis.

The Company does not guarantee:

Specific performance outcomes

Uninterrupted operation of systems

Absolute error-free results


9. Limitation of Liability

To the fullest extent permitted by law:

Mission Critical Experts LLC shall not be liable for:

Indirect, incidental, or consequential damages

Loss of data, revenue, or business interruption

Total liability shall not exceed the amount paid by the client for the specific services giving rise to the claim.


10. Indemnification

The client agrees to indemnify and hold harmless Mission Critical Experts LLC from any claims arising from:

Misuse of deliverables

Failure to follow recommendations

Client-provided data or instructions


11. Termination

Either party may terminate an engagement:

With written notice (e.g., 7–14 days)

Immediately in the event of material breach

The client remains responsible for:

Payment of all work completed

Any non-cancelable commitments


12. Force Majeure

The Company shall not be held liable for delays or failure due to events beyond reasonable control, including:

Natural disasters

Power outages

Labor disputes

Government actions


13. Governing Law

These Terms shall be governed by the laws of the State of Virginia, without regard to conflict of law principles.


14. Entire Agreement

These Terms, along with any proposal or agreement, constitute the entire understanding between the parties.

Mission Critical Experts LLC will maintain appropriate administrative, technical, and physical safeguards to protect client information. Client data will be used solely for the purpose of delivering contracted services and will not be shared with third parties except as required to perform such services or comply with legal obligations.
